These Terms of Service ("Terms") constitute a binding agreement between you and Healsend Inc. ("Healsend," "we," "us"). By accessing or using the Healsend platform ("Platform"), you agree to these Terms. If you do not agree, do not use the Platform.
These Terms incorporate by reference our Privacy Policy, Telehealth Consent, Refund Policy, and Safety Information. In the event of a conflict between these Terms and any incorporated document, these Terms control.
Healsend may assign its rights and obligations under these Terms to any successor entity or acquirer. You may not assign your rights without our written consent. We reserve the right to modify these Terms with reasonable notice; continued use after the effective date constitutes acceptance.
1. About Healsend
Healsend Inc. is a Management Services Organization (MSO) and technology company. We provide administrative, operational, and technology infrastructure to independent licensed medical practices and Professional Entities. Healsend does not practice medicine, employ physicians, or engage in the corporate practice of medicine.
All clinical decisions — including diagnoses, treatment recommendations, and prescription issuance — are made solely by licensed healthcare providers affiliated with independent Professional Entities. Your use of the Platform does not create a physician-patient relationship with Healsend.
2. Eligibility and User Responsibilities
You must be at least 18 years of age and a resident of the United States to use the Platform. By creating an account, you represent that:
- All information you provide is accurate, current, and complete.
- You will maintain the security of your account credentials.
- You will promptly update your information if it changes.
- You will not allow others to use your account.
Prohibited uses include: impersonating another person; providing false health information; attempting to obtain controlled substances fraudulently; using automated tools to access the Platform; or any use that violates applicable law.
3. Description of Services
Through the Platform, Healsend facilitates:
- Electronic health registration and clinical intake.
- Secure asynchronous messaging consultations with licensed providers.
- Electronic prescription routing to licensed pharmacies.
- Payment processing and medication shipping coordination.
The Platform is not intended for medical emergencies. If you are experiencing an emergency, call 911 immediately.
4. Relationship Between You, Healsend, and Professional Entities
Providers affiliated with Professional Entities exercise independent clinical judgment. They are not employees or agents of Healsend. All prescriptions, clinical findings, and treatment decisions are the sole responsibility of your treating Provider.
Healsend does not direct or control the clinical decisions of any Provider. Healsend's role is limited to administrative support, technology services, and operational management.
5. Consent to Telehealth
By using the Platform, you consent to receive healthcare services via telehealth, including audio, video, and electronic/asynchronous communication. You may withdraw consent at any time, but withdrawal may limit or terminate your ability to receive services through the Platform.
All telehealth communications are transmitted using HIPAA-compliant encryption. For full details, please review our Consent to Telehealth Policy.
6. Membership and Cancellation
a. Program Enrollment and Description
Your membership with the Company Weight Loss Program ("Program Membership"), including your ability to access the Services, will commence when you have completed the Company's proprietary intake form, at which time you will be charged the upfront payment for the first subscription term described at checkout (the initial Program Membership Fee, as defined and explained in Section 6(b) below). We will subsequently collect additional personal and medical details to enable clinicians associated with the Professional Entities to conduct your consultation and make a treatment decision.
The "Program" includes:
- Access to the Healsend online community and resources;
- Asynchronous clinical consultations with a licensed clinician via the platform's required review forms to track treatment progress, checkups, and tolerance;
- A prescription for compounded GLP-1 medication, if deemed eligible by the clinician; and
- Compounded medication equivalent to a four-week supply, shipped to your home upon your completion of the required monthly refill form (required every three months for microdosing), which we send to collect information about treatment progress and tolerance approximately 3 weeks after your prior fill.
By enrolling in the Program, you acknowledge and agree that your Program Membership Fee is inclusive of both medication shipments and ongoing access to licensed clinicians and the Healsend platform, and that your subscription and charges will continue even if you do not complete the refill form and do not receive a medication shipment in a given period.
The Company is cash pay only and the Company does not accept insurance.
In certain cases, you or your clinician associated with the Professional Entities may request that you complete services (e.g., medical consults or laboratory testing) not included in the Program Membership. In particular, upon reviewing your intake form, your clinician may require other steps, such as providing supplemental personal or medical information, to finalize and approve your Program Membership.
In some cases, a clinician may determine a different product is appropriate for you rather than what you originally selected. Unless you cancel your subscription, your continued enrollment constitutes your consent to receive the clinician-recommended product. Your subscription and the Program Membership Fee charges will continue regardless of any change in product, as your Program Membership Fee covers ongoing access to licensed clinicians and the Healsend platform.
The Program Membership Fee may change from time to time. You will be given thirty (30) days' notice of any such change. You may accept the revised Program Membership Fee by continuing your Program Membership into a new subscription term or reject it by terminating your Program Membership.
b. Payment of Program Membership Fee
You will have an opportunity to review and agree to the cost of the Program Membership, which is billed upfront for the entire subscription term (the "Program Membership Fee"), during the enrollment process. The Subscription Term and the corresponding Program Membership Fee will be as described at checkout.
Once you begin participation in the Program, your Program Membership Fee for the entire subscription term will be charged to your Payment Method (as defined in Section 7.1 below) on file with the Company. The initial payment must be made the day you enroll in the Program. Generally, your payment method will be automatically charged for the next subscription term's Program Membership Fee on a recurring basis on the renewal date (the day immediately following the end of your current subscription term) (the "Renewal Date"), until you cancel your Membership.
Subsequent billing and/or shipment may occur up to ten (10) days early to prevent treatment gaps. Except as expressly stated at checkout for the initial payment, or in the event medication is not prescribed after your initial consultation, once paid, your Program Membership Fee is non-refundable, subject explicitly to the conditions of the Healsend Weight Loss Warranty outlined in Section 8.
c. Cancellation
Your Program Membership is for the subscription term as described at checkout and paid for upfront and periodically thereafter. You may cancel your Program Membership at any time before the Renewal Date, in which case your membership and access to the Services will continue until the end of the current subscription term, and you will not be charged for the next subscription term.
If you wish to prevent automatic renewal for the subsequent subscription term, you must notify the Company of your intent to cancel (non-renew) your Program Membership at least forty-eight (48) hours prior to the end of the current subscription term.
Because the Program Membership is non-refundable (as stated in Section 6(b)), no refunds, partial or otherwise, will be issued if you cancel before the end of your current subscription term. You will continue to receive Services until the end of that paid term. (Note: This restriction is subject only to the specific conditions of the Healsend Weight Loss Warranty outlined in Section 8).
You may elect to reinstate your Membership in the Program by logging into the member portal and electing to reinstate your membership. By electing to reinstate your Membership, you accept and agree to be bound by the Terms in effect as of the date of such election.
d. Effect of Program Membership Cancellation
When you cancel, so long as it is at least forty-eight (48) hours before the Renewal Date, you will not be charged any additional monthly Program Membership Fee payments. You will receive the Services through the last day of the subscription term for which you have paid the Program Membership Fee. Thereafter, you will not be eligible to receive any Services, including prescriptions from your clinician associated with the Professional Entities.
7. Payment, Billing & Refunds
7.1 Payment Authorization
By submitting your payment information, you authorize Healsend to charge all applicable fees—including technology, administrative, and subscription fees—to your designated payment method. Charges may appear under the name "Healsend Inc." on your statement. You agree that authorization to charge your Payment Method remains in effect until you cancel in accordance with these Terms, and you agree to notify the Company of any changes to your Payment Method.
You certify that you are an authorized user of the Payment Method and will not dispute charges made by the Company. You acknowledge that the origination of ACH transactions to your account must comply with applicable provisions of U.S. law. In the case of an ACH transaction rejected for insufficient funds, the Company may at its discretion attempt to process the charge again at any time within thirty (30) days.
7.2 Third-Party Processors
Payments are processed by independent, PCI-DSS-compliant payment processors ("Payment Vendors"). Healsend does not store full credit-card numbers or bank details. By using the Services, you agree to the Payment Vendor's own terms and privacy policies.
7.3 Subscriptions and Renewals
If you enroll in an auto-renewing plan, recurring charges will continue until you cancel through your dashboard or by contacting yourhealth@trumoldx.com at least forty-eight (48) hours before the end of the current subscription term as set forth in Section 6(c).
7.4 Refund Policy
Except as explicitly modified by the Healsend Weight Loss Warranty outlined in Section 8:
- (a) Administrative or technology fees are refundable only if the Service was not delivered or if required by law.
- (b) Clinical encounter fees are non-refundable once a consultation has begun.
- (c) Approved refunds are processed within 10 business days of approval.
7.5 Chargebacks and Disputes
Before initiating any chargeback, you must give Healsend an opportunity to resolve the issue. Unwarranted chargebacks may result in suspension of access and collection of reversal costs.
7.6 Taxes
Fees are exclusive of sales or use taxes unless expressly stated. You are responsible for any applicable taxes imposed by law.
7.7 Insurance Exclusion
Healsend operates solely on a self-pay basis. No claims are filed with private insurance, Medicare, or Medicaid. You are responsible for all out-of-pocket costs.
7.8 Consultation Fee Coverage
HealSend covers the medical review consultation fees through the MD Integrations physician network as follows:
- New Standard Visit: $20
- Standard Follow-Up Visit: $20 (or $50 if required every 90 days)
- Extended Care Initial Visit: $30
- Extended Care Follow-Up Visit: $30 (or $80 if required every 90 days)
8. Healsend Weight Loss Warranty & Refund Policy
Any language elsewhere in this Agreement, including Sections 6, 7, and 12, stating that the Services and Products are provided entirely "as-is" without warranties of any kind, or that all fees are strictly non-refundable, is hereby explicitly amended to include this express, conditional Weight Loss Warranty.
a. The 5% Guarantee
Subject to strict compliance with all terms outlined in this Section, the Company guarantees that patients who maintain continuous, uninterrupted enrollment for twelve (12) consecutive months will lose at least five percent (5%) of their baseline starting body weight. If a patient fails to achieve this 5% weight reduction at the conclusion of twelve (12) consecutive months, they may request a full refund of their paid Program Membership Fees.
b. Clinical Non-Responder Exclusion (Months 3–6)
- Exclusion Window: Patients determined by a Company clinician to be biological or metabolic "clinical non-responders" between months three (3) and six (6) of continuous treatment are explicitly excluded from this warranty.
- Clinician Assessment: If a clinician determines within this 3-to-6-month window that the patient's body is unresponsive to the medication despite protocol adherence, the warranty is rendered void. The patient may be transitioned off the program or have their care plan adjusted at the clinician's sole discretion.
c. Strict Refill & Questionnaire Compliance Window
Active participation in clinical monitoring is mandatory to maintain warranty eligibility.
- The 21–26 Day Rule: Patients must fully complete and submit their required monthly Refill Questionnaire between twenty-one (21) and twenty-six (26) days following the exact date of their last clinical appointment or medication shipment.
- Penalty for Non-Compliance: Submitting a questionnaire outside of this 21–26 day window, or any compliance delay that results in a missed, paused, or delayed monthly medication shipment, will immediately and permanently void the Weight Loss Warranty.
d. Core Warranty Eligibility Requirements
To submit a valid claim under this warranty, the patient must meet all of the following criteria:
- Continuous Enrollment: Maintain twelve (12) consecutive months of active, paid membership with zero pauses, account freezes, or cancellations.
- Medication Protocol: Must be prescribed and continuously take standard-dose compounded semaglutide or compounded tirzepatide. Utilizing brand-name commercial alternatives or opting for unauthorized microdosing protocols voids the warranty.
- Clinical Adherence: Full compliance with all clinician dosing instructions, lifestyle recommendations, and medical guidance.
- Claim Window: Warranty claims must be submitted in writing within thirty-five (35) days of the patient's 12th or 13th consecutive medication shipment.
9. User Conduct and Prohibited Uses
You agree to comply with all applicable federal and state laws in your use of the Platform. Prohibited conduct includes:
- Impersonation or submitting false enrollment information.
- Unauthorized access attempts or use of automated scraping tools.
- Uploading malware or otherwise interfering with Platform integrity.
- Attempting to obtain prescription medications through fraudulent means.
We monitor Platform usage for compliance and reserve the right to suspend or terminate accounts for violations.
10. Intellectual Property Rights
All intellectual property on the Platform — including software, designs, trademarks, and content — is owned by or licensed to Healsend. We grant you a non-exclusive, revocable, non-transferable license to use the Platform for personal healthcare purposes only.
Any feedback or suggestions you provide may be used by Healsend without restriction or compensation. DMCA takedown requests should be sent to yourhealth@healsend.com.
11. Privacy and Data Handling
Your use of the Platform is subject to our Privacy Policy and Consumer Health Data Policy. Health information is handled under a Business Associate Agreement (BAA) with applicable Covered Entities. We retain health records for a minimum of 7 years. All stored data is encrypted.
12. Communications and Electronic Records
By creating an account, you consent to receive electronic records and disclosures, as permitted by the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
We may send transactional communications (receipts, appointment reminders, clinical notifications) and, with consent, marketing communications. You may withdraw consent to marketing communications at any time via the unsubscribe link in any marketing email.
13. Disclaimers and Limitation of Liability
EXCEPT FOR THE EXPRESS HEALSEND WEIGHT LOSS WARRANTY PROVIDED IN SECTION 8, THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.
HEALSEND'S MAXIMUM LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM IS LIMITED TO THE TOTAL FEES PAID BY YOU IN THE 12-MONTH PERIOD PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold harmless Healsend and its affiliates, officers, employees, and agents from any claims arising out of your violation of these Terms, your use of the Platform, or your provision of false information.
14. Dispute Resolution and Arbitration
Before initiating arbitration, you agree to attempt informal resolution by contacting us at yourhealth@healsend.com and allowing 30 days for resolution.
If informal resolution fails, all disputes shall be resolved by binding individual arbitration under the AAA Consumer Arbitration Rules. You waive the right to participate in class-action litigation. Nothing in this section prevents either party from seeking injunctive relief in court for IP infringement or platform abuse.
15. Termination
Healsend may suspend or terminate your access without notice for material violations of these Terms. Upon termination, your license to use the Platform ends immediately. Data will be retained and disposed of per applicable law and our Privacy Policy. Provisions that by their nature should survive termination (including dispute resolution, liability limitations, and IP rights) shall survive.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. For matters not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

18. Updates to Terms
We post a new Effective Date whenever we update these Terms. Material changes are communicated by email and via a notice on the Platform homepage. Prior versions of the Terms are archived for 7 years. Your continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms.
19. Business Associate & HIPAA Chain of Trust
Where Healsend functions as a Business Associate under 45 CFR Part 164, it maintains HIPAA-compliant administrative (§164.308), physical (§164.310), and technical (§164.312) safeguards. Healsend requires sub-processor BAAs from all subcontractors handling PHI and provides audit reports to applicable Covered Entities upon request.
20. Vendor and Sub-Processor Management
Third-party vendors and sub-processors are vetted prior to engagement and are contractually required to implement security measures equivalent to Healsend's standards. All patient data is processed within the United States. A list of sub-processors is available upon request.
21. Prescription Fulfillment and Pharmacy Disclosure
Medications are dispensed by independent licensed 503A or 503B pharmacies. Healsend does not own or control any pharmacy. Healsend does not receive ownership interests or per-prescription commissions from any pharmacy.
22. Refunds, Chargebacks & Consumer Protections
Administrative fees are non-refundable once services have commenced. Consultation fees are non-refundable after a clinical review is complete. Before filing a chargeback, you agree to notify us at yourhealth@healsend.com at least 10 days in advance. Nothing in these Terms limits your rights under applicable state consumer protection laws or FTC regulations. All provisions in this Section are strictly subject to the Weight Loss Warranty terms set forth in Section 8.
23. SMS, Email & TCPA Consent
By providing your phone number, you consent to receive transactional SMS messages related to your care (appointment reminders, prescription updates, billing notifications). Marketing SMS messages require separate opt-in consent. You may opt out of marketing messages at any time by replying STOP. Message frequency is approximately 4 messages per month for transactional communications. Consent records are retained for 4 years.
24. Accessibility
We are committed to accessibility under ADA Section 508 and WCAG 2.1 AA standards. We conduct annual accessibility audits. To report accessibility barriers or request accommodations, contact yourhealth@healsend.com. We aim to resolve reported accessibility issues within 30 days.
25. Business Continuity & Incident Response
Healsend maintains a Business Continuity and Disaster Recovery (BC/DR) plan with redundant U.S. data centers. In the event of a HIPAA breach, we provide notification per 45 CFR §164.404. All personnel with access to PHI receive HIPAA training at least every 6 months. Our platform is designed to remain available during reasonable disruptions through automatic failover. Force majeure events (natural disasters, government actions, etc.) that prevent performance will not constitute a breach of these Terms.
26. Product Orders and Availability
The Company cannot guarantee the availability of any specific Product displayed on the Site. The Company reserves the right to discontinue the sale of any Product listed on the Site at any time without notice. The prices displayed on this Site are quoted in U.S. dollars and are valid and effective only within the United States, and such prices do not include sales taxes, if applicable, which will be added to your total invoice price. You are responsible for the payment of any state and local sales or use taxes that may apply to your orders.
27. State-Specific Addenda
California
California consumers have rights under the CCPA/CPRA as described in our Privacy Policy. California law requires that certain disclosures be made regarding arbitration; the AAA Consumer Arbitration Rules govern this agreement.
Washington
Washington residents have consumer health data rights under the My Health My Data Act (MHMDA). We fulfill deletion requests within 45 days. See our Consumer Health Data Policy.
Texas
Texas residents' health information is protected under Texas HB300 (Texas Medical Records Privacy Act). We maintain BAAs with all entities handling Texas residents' health information.
Florida
Florida residents have rights under Florida Statute §456.47 regarding telehealth services. State-specific service limitations may apply based on scope-of-practice regulations.
New York
New York requires 6-year retention of medical records. We comply with this requirement for all New York residents.
Colorado & Virginia
Residents of these states have rights under their respective Consumer Data Protection Acts. Where state law provides greater protections than these Terms, the stricter rule prevails.
28. Entire Agreement and Execution
These Terms, together with all incorporated policies, constitute the entire agreement between you and Healsend and supersede all prior agreements or understandings. No waiver of any term shall be deemed a continuing waiver or waiver of any other term. You may not assign your rights under these Terms without Healsend's prior written consent.
Sections 8 (Healsend Weight Loss Warranty & Refund Policy), 10 (Intellectual Property), 13 (Disclaimers and Limitation of Liability), 14 (Dispute Resolution), 16 (Governing Law), 19 (Business Associate), and 28 (Entire Agreement) survive termination of these Terms.
By using the Healsend platform, you acknowledge that you have read, understood, and agree to these Terms of Service.
